  • Ensure regulations that govern the operations of the Board are complied with at all times;

Legal Officer II

Assisting the Legal Officer in providing legal advice to the Board and management on matters pertaining to the institution’s staff, property, activities, rights and obligations, and in particular conveyance.
Duties and Responsibilities

The Legal Officer II shall be responsible to the Legal Officer on all legal matters, including

  • Advising and dealing with conveyancing matters of the NMK
  • Assisting the Board on matters involving property, land laws and pensions
  • Assisting in drafting contracts, MoUs and other legal instruments between NMK and other parties; drafting gazette notices in liaison with the parent ministry and Attorney General’s Chambers.

Requirements for Appointment
  • Be in possession of a Bachelors of Law Degree

TI-Kenya, in collaboration with partners in Nairobi, Coast, Western/Nyanza and North Rift regions has established Advocacy and Legal Advice Centres (ALACs) as a strategic initiative to empower citizens to actively participate in the fight against corruption.

TI-Kenya through the ALACs – carries out the following functions:
  • Promote legal advice and assistance to victims or witnesses of corruption through provision of free and confidential advice on corruption cases, advice on formulation, development, presentation and monitoring of corruption-related complaints and partnership with legal aid organisations for referrals and follow up.
  • Enhance citizen’s access to legal services through information, education and communication support.
  • Undertake advocacy on a broader anti-corruption reform agenda
  • Enhance institutional capacity in complaint assessment and processing to enable citizens pursue corruption-related issues.
  • Support the work and sustainability of good governance coalitions in the regions.
In addition, ALACs form the core business of TI-Kenya’s Citizen Demand Programme that seeks to ssupport citizens to proactively demand for transparency, accountability and good governance.

Under the supervision of the Programme Officer-ALAC Mombasa, the Deputy Programme Officer will provide support in the implementation of ALAC Mombasa activities towards achievement of the overall Citizen Demand Programme objectives and TI Kenya’s strategic plan.

Duties and Responsibilities
 
Programme Management
  • Take up roles assigned by the Programme Officer to assist in the coordination, management of ALAC Mombasa programmes/projects, administration, logistical tasks, documentation and liaison with other TI Kenya staff.
  • Receive & book appointments for clients, conduct initial interviews and where appropriate provide legal advice, make records of complaint calls, make referrals and follow up of clients cases and the overall management of ALAC Mombasa data base.

Institutional Learning
  • Assist with the development of a participatory results and impact tracking system for ALAC Mombasa initiative.

Resource Mobilization:

Key Responsibilities
  • Provide a central point of reference, support and advice on retail legal documentation.
  • Manage issuance and processing of offer letters upon receipt of duly approved credit papers observing agreed timelines and high standards of accuracy and within applicable law, bank policies and regulations.
  • Manage conveyancing and loan documentation activities, end-to-end ensuring effective support to the retail branches at every stage of documentation
  • Managing vetting  and/or review all security documents for completeness, clarity and ensure that all legal risks are adequately covered
  • Liaise with external lawyers and other service providers on security documentation process and ensure that security documents and other conditions have been perfected/ completed prior to drawdown of facilities
  • Manage Issuance of  Compliance Certificates for purposes of disbursement of loan facilities
  • Ensure MIS maintenance with respect to TAT, exceptions, security movement and others as may be required for tracking of documents and performance and exceptions.
  • Coordinate and provide training to the retail business team on legal issues pertaining security instruments and protection of the same
  • Supervise and motivate all staff within the retail section of the department

The Person

Reporting to the Chief Executive Officer (CEO) , the person will be responsible for the following:
 
Duties and Responsibilities
  • Provision of efficient Board secretariat services to ensure compliance.
  • Preparing for Board and Committees Meetings in a timely manner and follow up all the matters arising from Board meetings in order to ensure effective implementation of Board decisions.
  • With the guidance of the CEO the Legal Officer will be responsible for the management of the Board database and ensure timely uploading and updating of the materials in the system and ensure that all Board Members are equipped with the necessary skills and tools to use the system.
  • Prepare the annual Board calendar and work plan and maintain Board details and attendance registers.
  • Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant knls stakeholders.
  • Custodian of good corporate governance practices, Board Charter, Board stewardship &  accountability, Fiduciary duties of Directors, Board manual, code of conduct, conflict of interest and maintenance and custody of Company Seal.
  • Providing advice on training for the Board on good corporate governance and fiduciary duties of Board Members.
  • Preparation of contracts, legal documents and memorandum of understanding
  • Liaising with external Lawyers on Court Cases and offering guidance notes and evidence to support court proceedings.
  • Conducting legal research and rendering advice to the Board.
Key Qualifications
  • Bachelors degree in a relevant field.
  • At least six(6) years work experience and four (4) years in Company Secretariat work in a large and busy organization.
  • Must be a holder of CPS (K).
  • Member of the Institute of Certified Public Secretary.
  • Knowledge of Corporate Governance.
  • Strong analytical and organization skills.
  • Computer literacy and familiarity with standard office computer applications.
  • Excellent interpersonal and communication skills.

Duties & Responsibilities

  • Preparing bank reconciliation and trial balances on a monthly basis.
  • Maintaining & updating organizational fixed assets register.
  • Processing payments, recording and filling of payment vouchers.
  • Undertaking monthly stock take of all the CRADLE supplies and preparation of the monthly stock take reports.
  • Follow up on all Field Imprest advanced to staff ensuring that the advances are accounted for within the stipulated time.
Qualification and Skills Required
  • Have CPA Part II and a Bachelors Degree in Business studies
  • A minimum of at least 3 years working experience in an NGO or audit environment
  • Excellent computer skills, budgeting and financial reporting
  • Practical knowledge of accounting for donor funds
  • Excellent communication skills, be self-motivated and a team player.
  • Working knowledge of accounting software packages especially QuickBooks and Sage Pastel

  • Participating in communal public mobilization meetings on child rights and child protection.
  • Planning and co-coordinating training workshops, conferences, public debates and public forums.

  • Reviewing of laws affecting children and advising the management
  • Preparing relevant reports and recording of minutes in respect of select workshops
  • Representation of The CRADLE in select trainings/conferences and networks in which The CRADLE is participating

Qualifications and experience required
  • Have a law degree
