A leading Kenyan Financial Institution is seeking to recruit highly competent and focused individuals for the following position:
Legal Officer and Company Secretary
Reporting to the Chief Executive Officer, his/her duties will include:

- Give legal advice to Organization’s Board and management.
- Make recommendations to the Board and CEO in aspects of law relating to Organization business.
- Critically examine and analyze legal issues and suggest workable solutions to legal challenges.
- Provide information and reports on legal mailers and other matters relating thereto.
- Provide pro-active as well as consultative advisory service to senior management on legal matters.
- Work with the Senior Managers in all legal issues, procedures and suggest improvements.
- Communicate with and discuss perceived legal challenges with the Board and CEO.
- Draft/approve legal documents for the Organization.
- Draw up and ensure proper execution of contracts by authorized signatories to avoid breach of contract.
- Draw lease of sale agreements for the Organization’s properties to minimize conflicts.
- Tenancy Agreements.
- Attend court cases for the Organization as and when required.
- Facilitate/assist in debt collection and legal actions for recoveries.
- Settle potential legal matters before going to court to reduce on costs and possible damage to Organization’s image and reputation.
- Liaise with external lawyers to facilitate progress for cases to ensure that all information necessary to the hearing of cases are available.
- Ensure that the Organization complies with its memorandum and articles of association.
- Ensure compliance with all relevant statutory and regulatory requirements.
- Ensure compliance with the required standards of good governance.
- Organize board meetings by formulating meeting agenda with the Chairman/CEO and distribution of board papers timely.
- Ensure that all deliberations are minuted and that the minute books are maintained with certified copies of the minutes and all Board committees are properly constituted and provided with clear terms of reference.
- Make arrangements for and managing the whole process of the Annual General Meeting and establishing, with Board’s agreement, the items to be considered at the Annual General Meeting.
- Register Title documents for the Organization’s properties to ensure that all properties are properly accounted for.
- Ensure safe custody and proper use of the common seal.
- Ensure safe custody of all Organization’s important documents. .
- Ensure that members, internal and external customers are accorded customer service that are responsive and meet their needs and expectations.
- Perform any other duties as may be assigned from time to time.
Qualifications
- A degree in Law (Bachelor of Laws)
- A post graduate diploma in legal practice
- Must be an Advocate of the High Court of Kenya.
- CPS
Previous relevant work experience required.
- At least 5 years experience as a legal practitioner
