Request for Proposal (RFP) for Financial Advisory Services Relating to Proposed Strategic Interventions in Kenya’s Cotton, Textile and Apparel Sectors

1. The Ministry of Industrialization and Enterprise Development (MOIED) in conjunction with the Export Processing Zones Authority (EPZA) is implementing a number of strategic interventions to enhance the investment environment and increase domestic and foreign investments in Kenya’s Cotton, Textile and Apparel sectors. 

The proposed interventions will include: facilitation of land acquisition, development of industrial park infrastructure, provision of incentives and facilitation of both local and foreign investors.
 
2. The EPZA now wishes to engage, through a competitive procurement process, a qualified financial advisor to offer lead arranger services as well as financing for the proposed strategic interventions.
 

3. Eligible bidders will be financial institutions licensed under the Banking Act (Chapter 488 of the Laws of Kenya) having relevant experience in playing a lead arranger role and with balance sheets sufficient to participate in syndicated lending to the successful private sector investors for the proposed interventions.
 
4. The submitted proposals should demonstrate the bidder’s experience and ability to undertake the envisaged scope of works, which will include but not be limited to the following:
 
(a) Lead arranger services;
 
(b) Financial advisory services including advice on structuring and financing options;
 
(c) Legal advisory services;
 
(d) Advise on appropriate construction methods;
 
(e) Advise on arrangement of debt and equity finance for the projects and investments which would include but not be limited to:
 
(i) Acquisition of land (preferred locations to be provided);
 
(ii) Construction of industrial sheds by public/private investors for lease (as per specifications to be provided);
 
(iii) Construction of key industrial infrastructure (water, steam, roads & civil works, electricity, etc.); and
 
(iv) Construction of customized Effluent Treatment Plant (ETP);
 
(f) Assessment of the potential socio-economic impact, challenges, risks and risk mitigation measures for the proposed projects and investments;
 
(g) Transaction conveyance and carrying out of due diligence on project investors; and
 
(h) Advisory on appropriate forms of investment guarantees to be provided by potential local and foreign investors in the Cotton, Textile and Apparel sectors to EPZA.
 
5. Eligible entities must submit the following information:
 
(a) Prior experience of similar projects undertaken;
 
(b) Capability of the proposed advisory team, including their qualifications and competence in undertaking the services. Such advisory team must include financial, legal, environmental, technical and other experts as may be required to provide the services; and
 
(c) A brief outline of the proposed approach and methodology.
 
6. Eligible entities may associate with other firms in the form of joint venture, consortium or subconsultancy in order to enhance their qualifications.
 
7. Interested, eligible and competent firms may obtain further information and inspect the Request for Proposal documents detailing the requirements from EPZA Procurement Offices on 1st Floor, Administration Building, Viwandani Road, off Nairobi – Namanga Highway, during normal working hours and upon payment of a non- refundable fee of Kshs.1000.00 for the Request for Proposal Documents in cash or bankers cheque payable to the cashier on second floor, at Export Processing Zones Authority Offices, Administration Building, located on Viwandani Road, Off Nairobi – Namanga Highway –Kitengela.

The applicant or his/her agent may inspect the Request For Proposal document BEFORE purchase and collect RFP document at the Procurement Office, 1st Floor of the same building upon production of a payment receipt.
 
The original and copy of the Technical Proposal shall be placed in a plain sealed envelope clearly marked “Technical Proposal”, and the original and copy of the Financial Proposal in a plain sealed envelope clearly marked “Financial Proposal”.

 Both Envelopes shall be placed in a plain outer envelope and sealed.

Should be deposited in the Tender Box on Ground Floor, Administration Building, Viwandani Road, Off Nairobi – Namanga Highway on or before Tuesday, 4th November 2014 at 11.00 a.m local time.

Request for Proposals will be opened immediately thereafter in the Conference Room on Ground Floor, of the same building in the presence of bidder representatives who choose to attend.

EPZA reserves the right to accept or reject any application either in whole or in part without giving reasons for either rejection or acceptance.
